Circle Gains NY Trust Charter to Institutionalize USDC

Circle secured a New York trust charter to offer digital asset custody, cementing a dual state-and-federal regulatory framework that sent its shares up 8.4%.

Circle received a limited-purpose trust charter from the New York Department of Financial Services, allowing the USDC issuer to operate a dedicated entity for digital asset custody. The approval pushed Circle's stock up 8.4% to approximately $68.40. The new subsidiary, known as Circle New York Trust, will operate under direct state supervision but is barred from accepting customer deposits or making loans.

This structural limitation is precisely what makes the charter valuable to institutional investors. It provides a clear fiduciary framework under New York banking law without exposing the firm to the traditional credit risks associated with commercial banking. By strictly limiting the entity to holding digital assets, Circle can scale custody services for corporations and asset managers that require stringent regulatory guardrails before adopting stablecoins.

The approval builds on a regulatory foundation Circle established years ago. The company first secured a BitLicense from NYDFS in 2015, making it one of the earliest regulated crypto firms in the country. “Earning a New York trust charter has been a longstanding objective for Circle,” CEO Jeremy Allaire said in a statement, adding that it reflects “over a decade of regulatory commitment.”

Allaire noted that the charter positions USDC “within a strong, respected framework as digital dollars become central to the global financial system.” The state-level approval also complements a recent federal victory. Earlier this month, the Office of the Comptroller of the Currency approved Circle's application to establish a national trust bank. That federal approval allows the firm to migrate core USDC operations under a national banking framework.

Beyond securing regulatory licenses, Circle is aggressively acquiring intellectual property to protect its infrastructure. On Monday, the company purchased IBM's blockchain patent portfolio. The acquisition adds nearly 1,000 patents covering blockchain technology, financial services, and enterprise software to Circle's balance sheet.

Circle intends to deploy this intellectual property across USDC, the Circle Payments Network, and its recently introduced Arc blockchain. Taken together, the NYDFS trust charter, the federal banking approval, and the massive patent acquisition signal a clear strategy. Circle is building the legal and technological moat necessary to transition USDC from a crypto-native trading tool into a regulated, enterprise-grade settlement layer.
