PicPay wins Central Bank nod for Kovr insurance buyout

Brazil's Central Bank has approved PicPay's acquisition of Kovr, paving the way for the digital bank to sell high-margin insurance products to its 68 million users despite an ongoing antitrust probe into the deal's structure.

Brazil’s Central Bank authorized PicPay’s acquisition of insurer Kovr in late July 2026, concluding the transaction does not pose prudential risks. The approval is a necessary step for the J&F Group-controlled digital bank to integrate insurance into its broader financial ecosystem.

The strategic prize for PicPay is cross-selling. The super-app already serves more than 68 million clients and manages over 10 million active insurance policies. Acquiring Kovr, which offers diversified products spanning insurance, capitalization, and private pension plans, alongside its attached brokerage Estrutural Corretora, gives PicPay direct control over product design and distribution.

Kovr’s availability stems from distress. The insurer was formerly tied to Banco Master, a mid-sized lender liquidated by regulators in November 2025. PicPay ultimately purchased the asset through a sequence of intermediaries, picking up a ready-made regulatory platform rather than spending years building one from scratch.

The exact price remains unclear. Reported figures range from R$450 million ($88.2 million) to R$657.6 million ($128.9 million). Regardless of the final valuation, the expenditure signals PicPay’s intent to use its conglomerate backing to diversify revenue away from low-margin payments.

Regulatory uncertainties persist. While the Central Bank has given its blessing, the deal still requires sign-off from Susep, Brazil’s private insurance supervisor, before final closing. Furthermore, antitrust authority Cade approved the transaction without competition restrictions but simultaneously opened an investigation into possible irregularities in the "triangulated" purchase structure.

For investors, the move mirrors a broader Latin American trend where fintechs embed sticky, high-margin protection products into existing digital wallets. Insurance increases customer lifetime value and reduces reliance on transaction fees. If PicPay can navigate the remaining regulatory hurdles, integrating Kovr will test whether a user base larger than France’s population can be efficiently converted into a profitable insurance book.
